These Terms of Service (the “Terms”) govern your access to and use of tarheelcarbon.com and any related content, forms, or communications (collectively, the “Site”) operated by Tarheel Carbon Co., LLC (“Tarheel Carbon,” “we,” “our,” or “us”). By accessing the Site or contacting us through it, you agree to these Terms. If you do not agree, please do not use the Site.
1. Informational purpose only
The Site provides general information about Tarheel Carbon's biochar and carbon-dioxide-removal (CDR) business, including references to feedstock sourcing, production, verification frameworks, and the issuance of CO₂ Removal Certificates (“CORCs”) through third-party registries such as Puro.Earth.
Nothing on the Site is:
- an offer, solicitation, or recommendation to buy or sell any security, commodity, carbon credit, or derivative instrument in any jurisdiction;
- investment, legal, tax, accounting, or climate-disclosure advice; or
- a binding commitment to produce, sell, deliver, or retire any specific volume of carbon removal at any specific price or date.
Any offtake, supply, or financing arrangement will be governed exclusively by a separate written agreement signed by authorized representatives of the relevant parties.
2. Forward-looking statements
The Site may contain forward-looking statements about production capacity, feedstock availability, methodology coverage, issuance timelines, pricing, permanence, partner integrations, and other operational or market expectations. These statements reflect our current views and are subject to risks, uncertainties, and assumptions — including regulatory changes, registry methodology updates, equipment performance, weather, market demand, and counterparty performance — that may cause actual results to differ materially from those expressed or implied. We undertake no obligation to update forward-looking statements, except as required by law.
3. No warranty regarding CDR instruments
Any reference to durability, permanence (e.g., “1,000+ years”), measurement, reporting, and verification (“MRV”), or registry status reflects our understanding of applicable methodologies and third-party systems at the time of publication. Registry issuance, serialization, and retirement are governed by the rules of the relevant registry (including Puro.Earth) and are not controlled by Tarheel Carbon. We make no representation or warranty that any specific credit will be issued, certified, transferred, or retired on any particular timeline or at all.
4. Intellectual property
All content on the Site — including text, graphics, logos, photography, layout, and source code — is owned by Tarheel Carbon or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. “Tarheel Carbon,” the Tarheel Carbon wordmark, and related design marks are trademarks of Tarheel Carbon Co., LLC. Third-party marks referenced on the Site (e.g., Puro.Earth, Tigercat, Carbonfuture, Mangrove) are the property of their respective owners and are used for identification purposes only.
You may view the Site for personal or internal business evaluation purposes. You may not copy, reproduce, republish, distribute, modify, or create derivative works from the Site without our prior written permission, except as permitted by fair-use principles or clearly indicated on the Site.
5. Acceptable use
You agree not to:
- use the Site in a way that violates any applicable law or regulation;
- submit false, misleading, or deceptive information through any form or communication channel;
- attempt to probe, scan, overload, or breach the security of the Site or any connected system;
- scrape, crawl, or harvest data from the Site by automated means except as permitted by
robots.txt; - introduce malware, viruses, or other harmful code to the Site or its users.
6. Communications and inquiries
When you submit an inquiry through the Site, you confirm that the information you provide is accurate and that you have authority to submit it. Your submission creates no obligation on either side until (and unless) a written agreement is executed between us.
7. Third-party content and links
The Site may link to, reference, or embed third-party websites, services, or content. We do not control or endorse that material and are not responsible for its accuracy, availability, or practices. Your use of any third-party site is governed by that site's own terms and policies.
8. Disclaimers
The Site is provided “as is” and “as available.” To the maximum extent permitted by law, Tarheel Carbon disclaims all representations and warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, neither Tarheel Carbon nor its members, managers, officers, employees, affiliates, or contractors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site — whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages. Our aggregate liability for any claim arising out of the Site will not exceed one hundred U.S. dollars ($100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Tarheel Carbon and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third- party right.
11. Governing law and venue
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising under or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of those courts.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.
13. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with any separate written agreement you may have with us, constitute the entire agreement between you and Tarheel Carbon regarding your use of the Site.
